you acknowledge that you have read,
understood, and agreed to be legally bound by these Terms.
If you do not agree with any portion of these Terms,
you must immediately discontinue use of the Platform.

1. Nature of Platform & Commercial Intermediation Services
InstaHelp operates primarily as a technology-enabled
commercial intermediation, advertising,
promotional visibility, business networking,
customer acquisition, lead-generation,
communication facilitation, and discovery platform.
The Platform facilitates visibility,
introductions, communication initiation,
listing exposure, promotional placement,
lead routing, and digital discovery
between users and independent third-party businesses,
merchants, professionals, contractors,
agencies, freelancers, and service providers.
InstaHelp is NOT generally:
- a direct service provider,
- a contractor or subcontractor,
- a staffing company,
- a labor supplier,
- an employer of providers,
- a manpower outsourcing company,
- an operational execution agency,
- or the entity performing listed services.
Third-party businesses, advertisers,
providers, agencies, contractors,
professionals, and merchants may pay InstaHelp for:
- advertising services,
- promotional visibility,
- featured placement,
- lead generation,
- customer acquisition,
- technology access,
- listing services,
- marketing campaigns,
- branding exposure,
- or commercial collaborations.
2. No Employment, Agency or Partnership Relationship
Nothing contained on the Platform
shall be interpreted as creating:
- an employer-employee relationship,
- agency relationship,
- partnership,
- joint venture,
- franchise relationship,
- master-servant relationship,
- staffing arrangement,
- or contractor-subcontractor arrangement.
Third-party providers remain fully independent entities
solely responsible for their operations,
personnel, taxes, licenses, insurance,
conduct, pricing, representations,
safety practices, and legal compliance.
3. Platform Neutrality & No Endorsement
InstaHelp functions as a neutral intermediary platform.
Listings, rankings, badges,
recommendations, “verified” indicators,
promotional placement, advertisements,
reviews, ratings, or visibility prominence
may be influenced by commercial arrangements,
advertising participation, subscription plans,
algorithmic systems, engagement metrics,
or promotional campaigns.
No listing, advertisement,
verification badge, review,
ranking, or featured placement
shall be interpreted as:
- a warranty,
- a guarantee of quality,
- a certification of competence,
- a safety assurance,
- a background clearance,
- or an endorsement by InstaHelp.
4. No Warranty & Information Disclaimer
All content, listings, descriptions,
availability information, pricing,
ratings, promotional claims,
and communications on the Platform
are provided on an “AS IS”
and “AS AVAILABLE” basis.
InstaHelp does not warrant:
- accuracy of listings,
- identity authenticity,
- professional competence,
- provider qualifications,
- licenses or certifications,
- background checks,
- service outcomes,
- pricing accuracy,
- availability,
- merchantability,
- fitness for purpose,
- or uninterrupted platform operation.
5. User Due Diligence Obligations
Users are solely responsible for conducting
their own independent due diligence
before engaging with any third-party provider.
Users should independently verify:
- identity,
- qualifications,
- licenses,
- insurance,
- background suitability,
- pricing,
- reviews,
- legal compliance,
- and service appropriateness.
Users engage providers entirely at their own risk.
6. Assumption of Risk
Users acknowledge that interactions
with third-party providers may involve:
- financial risks,
- personal safety risks,
- property risks,
- fraud risks,
- service disputes,
- misconduct,
- negligence,
- criminal acts,
- service failures,
- injury,
- or loss.
Users voluntarily assume all such risks.
7. No Duty To Monitor or Investigate
InstaHelp has no obligation to:
- monitor providers,
- investigate user conduct,
- verify statements,
- inspect services,
- supervise transactions,
- audit legal compliance,
- or monitor offline interactions.
Any voluntary moderation,
verification, onboarding,
or support actions undertaken by InstaHelp
shall not create any legal duty,
guarantee, or assumption of liability.
8. Offline Transactions Disclaimer
Any communication, negotiation,
payment, agreement, booking,
or transaction occurring outside
the Platform is solely between users
and third-party providers.
InstaHelp shall not be responsible for:
- cash payments,
- offline contracts,
- private arrangements,
- service modifications,
- refund disputes,
- pricing disagreements,
- or offline misconduct.
9. Limitation of Liability
To the maximum extent permitted by law,
InstaHelp and its affiliates,
owners, directors, employees,
advertisers, technology partners,
contractors, licensors,
consultants, and agents
shall not be liable for:
- indirect damages,
- consequential losses,
- loss of profits,
- business interruption,
- emotional distress,
- property damage,
- injury or death,
- provider negligence,
- fraud,
- criminal acts,
- identity theft,
- consumer disputes,
- service dissatisfaction,
- or third-party misconduct.
InstaHelp’s total aggregate liability,
regardless of legal theory,
shall never exceed:
INR 2,000 OR the amount directly paid by the user to InstaHelp
within the preceding thirty (30) days,
whichever is lower.
10. Indemnity
Users agree to fully indemnify,
defend, and hold harmless InstaHelp
from any:
- claims,
- complaints,
- consumer disputes,
- regulatory proceedings,
- investigations,
- damages,
- penalties,
- losses,
- or legal expenses
arising from:
- use of the Platform,
- interactions with providers,
- breach of these Terms,
- misconduct,
- offline dealings,
- or violation of applicable laws.
11. Suspension & Removal Rights
InstaHelp may suspend,
restrict, delist,
remove content,
terminate access,
or block accounts at its sole discretion,
without notice or liability,
for operational, safety,
legal, reputational,
or commercial reasons.
12. Governing Law & Jurisdiction
These Terms shall be governed exclusively
by the laws of India.
Courts located in Bengaluru, Karnataka
shall have exclusive jurisdiction.
InstaHelp may require disputes
to first undergo confidential arbitration
or mediation where legally permissible.
13. Modifications To Terms
InstaHelp may revise,
modify, update,
or replace these Terms
at any time without prior notice.
Continued use of the Platform
constitutes acceptance
of revised Terms.
Scope of Platform Activities & Commercial Services
InstaHelp may provide, facilitate, support,
operate, enable, automate, aggregate,
organize, administer, publish,
coordinate, promote, optimize,
or commercially facilitate
a broad range of business,
advertising, promotional,
marketplace, intermediary,
administrative, communication,
discovery, customer acquisition,
visibility, networking,
data organization,
and commercial assistance services.
Such activities may include,
without limitation:
- commercial intermediation services,
- business intermediary services relating to the matching of users, customers, professionals, merchants, contractors, freelancers, agencies, or businesses,
- online marketplace services for buyers and sellers of goods and services,
- advertising, publicity, and promotional services,
- lead generation and customer acquisition services,
- digital listing and discovery services,
- search engine optimization and visibility enhancement,
- customer communication facilitation,
- appointment scheduling and reminder services,
- telephone, messaging, and digital coordination services,
- business networking and referral systems,
- presentation and ranking of businesses, professionals, or services,
- user review, rating, feedback, and reputation systems,
- commercial information services,
- consumer information and comparison services,
- promotion of goods and services for others,
- featured listings, sponsored placements, and advertising programs,
- commercial analytics and engagement systems,
- subscription and loyalty program administration,
- database organization and information systemization,
- business administration and office support functions,
- procurement, sourcing, or coordination assistance,
- commercial consultancy and operational support services,
- marketplace optimization and traffic generation,
- technology-enabled commercial facilitation systems,
- or any related lawful commercial, intermediary, promotional, marketplace, or business facilitation activities.
Certain Platform features,
promotions, rankings,
listings, recommendations,
referrals, visibility systems,
communications, administrative functions,
or support services may be:
- paid or unpaid,
- sponsored or unsponsored,
- algorithmic or manual,
- commercial or experimental,
- free or subscription-based,
- temporary or permanent,
- automated or human-assisted,
- provider-funded, advertiser-funded, user-funded, subsidized, or platform-funded.
Users acknowledge and agree that InstaHelp
primarily operates as a commercial,
advertising, intermediary,
marketplace, and technology facilitation platform,
and not generally as the underlying direct provider,
employer, contractor,
operator, or performer
of third-party goods or services.
Independent Third-Party Providers & Separate Policies
InstaHelp primarily operates as a technology-enabled
commercial intermediation,
communication facilitation,
advertising,
promotional visibility,
lead-generation,
customer acquisition,
marketplace,
and business discovery platform.
Third-party providers,
merchants,
professionals,
agencies,
contractors,
freelancers,
businesses,
and service partners listed,
promoted,
advertised,
recommended,
displayed,
or discoverable through the Platform
are independent entities
and are not generally owned,
operated,
employed,
controlled,
supervised,
or managed by InstaHelp.
Users acknowledge and agree that:

all third-party providers operate independently;

provider-specific terms,
conditions,
cancellation rules,
pricing structures,
warranties,
service commitments,
refund policies,
privacy practices,
delivery standards,
timelines,
operational procedures,
and dispute policies
are determined solely by the respective provider;

InstaHelp is not a party to most underlying service contracts,
negotiations,
or operational arrangements between users and providers;

users are solely responsible for reviewing,
understanding,
and accepting provider-specific terms and policies before proceeding;

any dispute,
deficiency,
delay,
cancellation,
misconduct,
negligence,
fraud,
injury,
damage,
pricing disagreement,
refund issue,
service dissatisfaction,
or legal claim arising from third-party services
shall primarily remain between the user and the independent provider.
InstaHelp does not generally guarantee:
- provider performance,
- service quality,
- refund eligibility,
- pricing accuracy,
- delivery timelines,
- legal compliance,
- insurance coverage,
- licensing status,
- or operational conduct of independent providers.
Any support,
communication assistance,
coordination,
escalation,
facilitation,
mediation,
or customer service provided by InstaHelp
shall not be interpreted as:
- acceptance of liability,
- assumption of contractual obligations,
- guarantee of outcomes,
- creation of agency relationships,
- or admission of responsibility for third-party conduct.
